Fiduciary duty and fees

As a registered investment advisor, SkyOak Capital acts as a fiduciary to its clients and is required to put the client’s interests ahead of its own. SkyOak Capital’s standard fee schedules are stated in Item 5 of the firm’s Form ADV Part 2A and on the Fees page. Fees are negotiable, and similarly situated clients may pay different fees. Clients also pay fees to third parties, including custodians, fund managers and separately managed account managers, which are in addition to SkyOak Capital’s advisory fee.

Conflicts of interest

SkyOak Capital has relationships that create conflicts of interest. Each is described in the firm’s Form ADV, and each is summarized here.

Insurance. SkyOak Asset Protection Group, LLC (“SOAPG”) is a Nevada insurance agency owned by Jennifer Davis, the owner and CEO of SkyOak Capital. Some of the firm’s advisory representatives are licensed insurance agents of SOAPG and earn customary commissions, and may receive sales incentives from insurance companies, when a client purchases an insurance product through them. Clients are under no obligation to purchase insurance products from SkyOak Capital’s advisory representatives.

Custodian. SkyOak Capital recommends Charles Schwab & Co., Inc. as primary custodian. Schwab provides the firm with products and services that benefit SkyOak Capital but do not directly benefit clients, which creates an incentive to recommend Schwab. Clients may select another custodian.

Referrals. SkyOak Capital may compensate independent promoters for client referrals. Any such arrangement is disclosed to the referred client in writing.

Financial planning. SkyOak Capital may recommend its own investment management services to implement a financial plan. Planning clients are under no obligation to implement recommendations through SkyOak Capital.

Tax matters. SkyOak Capital and its affiliates do not prepare tax returns and do not provide tax or legal advice. Tax-aware planning strategies discussed on this website or with an advisor are provided for planning purposes in coordination with the client’s own tax professional. Any discussion of U.S. tax matters on this site is not intended or written to be used, and cannot be used, for the purpose of avoiding U.S. tax-related penalties or for promoting, marketing or recommending to another party any matter addressed herein. Consult your tax advisor regarding your specific situation.

Performance

Past results are not necessarily indicative of future performance and are no guarantee that losses will not occur in the future. Future returns are not guaranteed and a loss of principal may occur. Standard deviations, information ratios and allocation targets may be higher or lower at any time, and there is no guarantee that these measurements will be achieved. Information provided should not be considered a recommendation to purchase or sell a particular security. Any specific securities identified do not represent all of the securities purchased, sold or recommended for advisory clients, may be only a small percentage of the entire portfolio, and may not remain in the portfolio at the time you receive the information. You should not assume that investment decisions the firm makes in the future will be profitable or will equal past performance. Where performance is compared to an index, broad-based securities indices are unmanaged and are not subject to the fees and expenses associated with managed accounts or investment funds; the number and types of securities in an index can differ greatly from those in the strategy shown; investments cannot be made directly in an index. Diversification does not guarantee a profit or protect against loss.

Any performance shown is for the stated time period only; due to market volatility, each account’s performance may differ. Returns are shown net of management fees, trading costs and other direct expenses, but before custody charges, withholding taxes and other indirect expenses, and assume the reinvestment of dividends and other income. Projected performance and cash flows, where presented, are presented in response to a client’s request. Performance is expressed in U.S. dollars unless noted otherwise. Results for periods of one year or less are not annualized.

The estimated fair values of certain investments in underlying funds, which may include private placements and other securities for which prices are not readily available, are determined by the general partner or sponsor of the respective underlying funds and may not reflect amounts that could be realized upon immediate sale or that ultimately may be realized. Such estimated fair values may differ significantly from the values that would have been used had a ready market existed.

Back-tested and hypothetical results

Back-tested results based on simulated or hypothetical performance have inherent limitations. Unlike an actual performance record, these results do not represent actual trading. Because the trades have not been executed, the results may have under- or over-compensated for the impact, if any, of certain market factors, such as lack of liquidity. Simulated or hypothetical trading programs are also designed with the benefit of hindsight. No representation is made that any account will or is likely to achieve profits or losses similar to those shown.

Case studies and client examples

Any case studies or client examples on this website are intended to illustrate products and services available through SkyOak Capital. They are presented without client names or identifying details, do not necessarily represent the experience of other clients, and do not indicate future performance or results.

Research and market commentary

Research, market commentary and outlook material on this website reflect the opinions of SkyOak Capital as of the date written and are subject to change. They are based on SkyOak Capital’s proprietary research and on sources believed to be reliable, but SkyOak Capital makes no representation as to their accuracy or completeness and accepts no liability for any loss arising from their use. Some internally generated information may be theoretical in nature and subject to inherent limitations. Sectors, allocations or securities referenced may or may not be held in client portfolios and do not represent all securities purchased, sold or recommended for client accounts.

Due to differences in account allocations, account opening dates, timing of cash flows, rebalancing frequency and other transaction-based or market factors, a client’s actual return may be materially different from any model result portrayed. Investing entails risk, including possible loss of principal. Forward-looking statements regarding future events, targets or expectations are current only as of the date indicated, and there is no assurance that such events or targets will be achieved. Market indexes are included only as context; SkyOak Capital may trade in securities not represented in such indexes and may hold concentrations not reflected in them, and no representation is made that the performance or volatility of any model allocation will track any index. Index performance is gross of management and performance fees.

Awards and recognition

Awards, rankings and recognition by unaffiliated rating services or publications should not be construed by a client or prospective client as a guarantee of a certain level of results if SkyOak Capital is engaged or continues to be engaged to provide advisory services, nor as a current or past endorsement of SkyOak Capital by any of its clients. Publications generally base such recognition on information prepared or submitted by the recognized adviser.

Insurance

Insurance products are offered through SkyOak Asset Protection Group, LLC, an affiliate of SkyOak Capital. See “Conflicts of interest” above. Life insurance and long-term care insurance are medically underwritten; premiums are not guaranteed and may vary from any initial quotation. You should not cancel current coverage until new coverage is approved and in force. Surrender charges may apply on an exchange of one contract for another, a change in policy may incur fees and costs and may require an examination, and surrenders may be taxable. Consult your tax advisor regarding tax liability on surrenders.
